Wholesale terms
These terms apply to every Netmark Supply wholesale account and every purchase request and invoice. Please read them before you apply.
1.Who can buy
Netmark Supply sells only to businesses that buy products to resell. To open an account you must be a registered business, hold a valid resale certificate or sales tax permit, and be authorized to accept these terms for your business.
We review every application. We may approve it, ask for more documents, or decline it, and we may suspend or close an account at any time if the information on it is no longer accurate or these terms are broken.
2.Your account
Keep the information on your application accurate and tell us when your business name, address, tax details or contact person change. Keep your login private. You are responsible for purchase requests sent from your account.
3.Wholesale pricing is confidential
Wholesale prices are shown only to approved accounts and are confidential. Do not publish, share or resell access to them. Prices can change at any time without notice. The price on your invoice is the price you pay.
4.Purchase requests and orders
A purchase request is an offer to buy, not a confirmed order. An order is accepted only when we send you an invoice for it. Before invoicing we may adjust quantities to the stock we have, or decline a request.
Products are sold in full case packs and may have a minimum order quantity, both shown on each product page.
5.Payment by wire transfer
Invoices are paid by wire transfer in US dollars by the due date shown on the invoice. Include the invoice number as the payment reference. Your bank's fees and any intermediary fees are your responsibility, so the full invoice amount must arrive.
Orders ship after payment has cleared. If an invoice is not paid by its due date we may cancel the order and release the stock, and we may ask for payment in advance on future orders.
6.Sales tax and resale certificates
By ordering, you confirm the products are for resale. Keep a valid resale or exemption certificate on file with us. If we do not have a valid certificate for the state you ship to, we may charge any sales tax that applies.
7.Shipping and delivery
Shipping costs are quoted on the invoice. Delivery dates are estimates. Ownership and risk of loss pass to you when we hand the order to the carrier.
If you ship to a prep center or fulfillment center, you are responsible for giving us complete and correct addresses, shipment IDs and any labeling requirements before the order ships.
8.Shortages and damaged goods
Check every delivery when it arrives. Report shortages, damage or wrong items within 5 business days of delivery, with photos of the cartons, labels and products. If the claim is confirmed, we will replace the items, credit your account or refund you for them, at our choice.
9.Returns
Except for the claims described above, all sales are final. We do not accept returns because a product did not sell, because of a marketplace or brand restriction, or for a change of mind.
10.Reselling our products
You are responsible for following the rules of every channel where you sell, including marketplace policies, brand and category restrictions, minimum advertised price policies and applicable laws. We do not guarantee that you will be able to list or sell any product on any marketplace or that a brand will approve you. On request, we can provide copies of your invoices as proof of purchase.
11.Product information
We work to keep product details accurate, but descriptions, images and packaging can differ slightly from what is delivered as manufacturers update their products. Any manufacturer warranty passes to you. We make no other warranties beyond those required by law.
12.Limits on our liability
To the extent the law allows, our total liability for any claim about an order is limited to the amount you paid for the products in that order, and we are not liable for lost profits, lost sales, marketplace fees or other indirect damages.
13.Suspending or closing an account
We may suspend or close an account for unpaid invoices, sharing wholesale prices, inaccurate application information or other breaches of these terms. You can close your account at any time by emailing us. Unpaid invoices remain due.
14.Changes and governing law
We may update these terms. The version posted on this page when you send a purchase request applies to that request. These terms are governed by the laws of the state where Netmark Supply is organized. How we handle your information is described in our privacy policy.
